This course introduces the study of Article 2 of the Uniform Commercial Code [UCC]. The UCC, Article 2 in particular, governs all commercial transactions. The Code has been adopted, in whole or part, by all states, the District of Columbia, Puerto Rico, and the U.S. Virgin Islands. A lawyer's understanding of the Code, its philosophies, and structure are vital for competent practice. These materials build on foundational principles previously studied in Contract courses.
